Proprietary Software is software that is encumbered with technical or legal restrictions that make it difficult for users to utilize, modify, reengineer or repair the software to suit their needs. (from Mark Hobley's Glossary of Computer Related Terminology)

End users do not have access to the source code of the software. Proprietary software can be bought or licensed for a fee. There are restrictions imposed by the vendor, if terms and conditions are violated legal action can be taken against the end-user.
